BKM Zawiadomienie przekazane w trybie art. 69 ustawy o ofercie publicznej
Zarząd Polskiego Banku Komórek Macierzystych S.A. [Spółka, Emitent] informuje, że w dniu 29 stycznia 2020 r. wpłynęło do Spółki od Active Ownership Corporation S.à r.l. [AOC], Active Ownership Fund SICAV-FIS SCS [AOF], Active Ownership Capital S.à r.l., Active Ownership Advisors GmbH, Active Ownership Investments Ltd., Florian Schuhbauer, Tamlino Import & Advisory LP, Tamlino Investments Ltd., Klaus Röhrig, AOC Health HoldCo S.à r.l. [AOC Health HoldCo] jak również AOC Health GmbH [AOC Health] [łącznie jako Zawiadamiający], zawiadomienie w trybie art. 69 ust. 1 pkt 1, art.69 ust.1 pkt 2 oraz art. 69a ust. 1 pkt 3 ustawy o ofercie publicznej.
Zawiadomienie zostało przekazane w języku polskim oraz angielskim. Treść zawiadomienia w języku polskim: „Działając w imieniu Zawiadamiających (pełnomocnictwa w załączeniu), na podstawie art. 69 ust. 1 pkt 1), art. 69 ust. 1 pkt 2), art. 69 ust. 2 pkt 1) lit. a), art. 69 ust.2 pkt 2) oraz art. 69a ust. 1 pkt 3) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej: „Ustawa”), niniejszym zawiadamiam, że: i) w wyniku rejestracji w dniu 22 stycznia 2020 r. przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, podwyższenia kapitału zakładowego spółki Polski Bank Komórek Macierzystych S.A. z siedzibą w Warszawie („Spółka”), AOC Health stała się posiadaczem 3.522.705 akcji Spółki uprawniających do 3.522.705 głosów na walnym zgromadzeniu Spółki oraz stanowiących 38,27% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki („Rejestracja”); oraz ii) w wyniku transakcji pakietowych przeprowadzonych w dniu 24 stycznia 2020 r., AOC Health zbyła 220.000 akcji Spółki uprawniających do 220.000 głosów na walnym zgromadzeniu Spółki, co stanowi 2,39% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki („Zbycie”). Bezpośrednio przed Rejestracją AOC Health posiadała bezpośrednio 1.796.573 akcji Spółki uprawniających do 1.796.573 głosów na walnym zgromadzeniu Spółki, co stanowiło wówczas 31,62% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Po Rejestracji, a przed Zbyciem AOC Health posiadała bezpośrednio 5.319.278 akcji Spółki uprawniających do 5.319.278 głosów na walnym zgromadzeniu Spółki, co stanowi 57,79% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Po Zbyciu AOC Health posiada bezpośrednio 5.099.278 akcji Spółki uprawniających do 5.099.278 głosów na walnym zgromadzeniu Spółki, co stanowi 55,40% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Żadne podmioty zależne od AOC Health nie posiadają akcji Spółki ani nie są uprawnione do wykonywania głosów z akcji Spółki. AOC Health jest podmiotem zależnym od AOC Health HoldCo oraz jest podmiotem współkontrolowanym przez Active Ownership Advisors GmbH (spółka zależna od Floriana Schuhbauera) oraz przez Active Ownership Investments Ltd. (spółka pośrednio zależna, poprzez Tamlino Import & Advisory LP oraz Tamlino Investments Ltd., od Klausa Röhriga). Nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c. Ustawy. Żadnemu z Zawiadamiających nie przysługują głosy z akcji Spółki, do których nabycia którykolwiek z Zawiadamiających jest uprawniony lub zobowiązany jako posiadacz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1) Ustawy, oraz instrumentów finansowych o których mowa w art. 69b ust. 1 pkt 2) Ustawy, które nie są wykonywane wyłącznie przez rozliczenie pieniężne. Żadnemu z Zawiadamiających nie przysługują głosy z akcji Spółki, do których w sposób pośredni lub bezpośredni odnoszą się instrumenty finansowe, o których mowa w art. 69b ust. 1 pkt 2) Ustawy.” Treść zawiadomienia w języku angielskim: „Acting on behalf of the Notifying Parties (attached: the relevant powers of attorney), pursuant to Art. 69.1.1), Art. 69.1.2), Art. 69.2.1) a), Art. 69 2.2) and Art 69a.1.3) of the Act of 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies (the “Act”), I hereby notify you that: i) as a result of the registration on 22 January 2020 by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register of the increase of the share capital of Polski Bank Komórek Macierzystych S.A. with its registered seat in Warsaw (the “Company”), as a result of which AOC Health became the owner of 3,522,705 shares in the share capital of the Company representing 3,522,705 votes constituting 38.27% of the overall number of the shares and votes at the general meeting of the Company (the “Registration”); and ii) as a result of block trade transactions executed on 24 January 2020, AOC Health disposed of 220,000 shares in the share capital of the Company representing 220,000 votes, which constitute 2.39% of the overall number of the shares and votes at the general meeting of the Company (the “Disposal”). Prior to the Registration, AOC Health held directly 1,796,573 shares in the share capital of the Company representing 1,796,573 votes, which constituted at that time 31.62% of the overall number of the shares and votes at the general meeting of the Company. After the Registration and prior to the Disposal, AOC Health held directly 5,319,278 shares in the share capital of the Company representing 5,319,278 votes, which constitute 57.79% of the overall number of the shares and votes at the general meeting of the Company. After the Disposal, AOC Health holds directly 5,099,278 shares in the share capital of the Company representing 5,099,278 votes, which constitute 55.40% of the overall number of the shares and votes at the general meeting of the Company. No subsidiaries of AOC Health hold any shares in the share capital of the Company nor are they entitled to exercise any votes attached to the shares in the share capital of the Company. AOC Health is a company controlled by AOC Health HoldCo and jointly controlled by Active Ownership Advisors GmbH (a company controlled by Florian Schuhbauer) and Active Ownership Investments Ltd. (a company indirectly, through Tamlino Import & Advisory LP and Tamlino Investments Ltd., controlled by Klaus Röhrig). There exist no such persons as referred to in Art. 87.1.3.c of the Act. None of the Notifying Parties are entitled to exercise any voting rights attached to the shares in the Company that a Notifying Party is entitled or required to acquire as a holder of the financial instruments referred to in Art. 69b.1.1) of the Act and the financial instruments referred to in Art. 69b.1.2) of the Act that are not exercisable solely by means of a cash settlement. None of the Notifying Parties are entitled to any voting rights attached to the Company’s shares to which the financial instruments referred to in Art. 69b.1.2) of the Act relate directly or indirectly.”

Treść zawiadomienia w języku polskim: „Działając w imieniu Zawiadamiających (pełnomocnictwa w załączeniu), na podstawie art. 69 ust. 1 pkt 1), art. 69 ust. 1 pkt 2), art. 69 ust. 2 pkt 1) lit. a), art. 69 ust.2 pkt 2) oraz art. 69a ust. 1 pkt 3) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej: „Ustawa”), niniejszym zawiadamiam, że: i) w wyniku rejestracji w dniu 22 stycznia 2020 r. przez Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, podwyższenia kapitału zakładowego spółki Polski Bank Komórek Macierzystych S.A. z siedzibą w Warszawie („Spółka”), AOC Health stała się posiadaczem 3.522.705 akcji Spółki uprawniających do 3.522.705 głosów na walnym zgromadzeniu Spółki oraz stanowiących 38,27% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki („Rejestracja”); oraz ii) w wyniku transakcji pakietowych przeprowadzonych w dniu 24 stycznia 2020 r., AOC Health zbyła 220.000 akcji Spółki uprawniających do 220.000 głosów na walnym zgromadzeniu Spółki, co stanowi 2,39% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki („Zbycie”). Bezpośrednio przed Rejestracją AOC Health posiadała bezpośrednio 1.796.573 akcji Spółki uprawniających do 1.796.573 głosów na walnym zgromadzeniu Spółki, co stanowiło wówczas 31,62% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Po Rejestracji, a przed Zbyciem AOC Health posiadała bezpośrednio 5.319.278 akcji Spółki uprawniających do 5.319.278 głosów na walnym zgromadzeniu Spółki, co stanowi 57,79% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Po Zbyciu AOC Health posiada bezpośrednio 5.099.278 akcji Spółki uprawniających do 5.099.278 głosów na walnym zgromadzeniu Spółki, co stanowi 55,40% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Żadne podmioty zależne od AOC Health nie posiadają akcji Spółki ani nie są uprawnione do wykonywania głosów z akcji Spółki. AOC Health jest podmiotem zależnym od AOC Health HoldCo oraz jest podmiotem współkontrolowanym przez Active Ownership Advisors GmbH (spółka zależna od Floriana Schuhbauera) oraz przez Active Ownership Investments Ltd. (spółka pośrednio zależna, poprzez Tamlino Import & Advisory LP oraz Tamlino Investments Ltd., od Klausa Röhriga). Nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c. Ustawy. Żadnemu z Zawiadamiających nie przysługują głosy z akcji Spółki, do których nabycia którykolwiek z Zawiadamiających jest uprawniony lub zobowiązany jako posiadacz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1) Ustawy, oraz instrumentów finansowych o których mowa w art. 69b ust. 1 pkt 2) Ustawy, które nie są wykonywane wyłącznie przez rozliczenie pieniężne.
