CAI Conclusion of a significant agreement

The Management Board of CARLSON INVESTMENTS SE, with its registered office in Warsaw (the Company, the Issuer), hereby informs that on July 13, 2022, it acquired 100% of shares in FSG joint-stock company (FSG S.A.), with its registered office in Poznan, registered in the Register of Entrepreneurs of the National Court Register kept by the District Court Poznan - Nowe Miasto and Wilda in Poznan, VIII Economic Department of the National Court Register under No. 0000716312. The total price paid for the shares in FSG S.A. acquired by the Issuer was PLN104’517.
The object of FSG S.A.'s business is fund management and management of alternative investment companies. FSG S.A. is the sole general partner in FSG joint-stock company Investment Partners Alternative Investment Company Limited Partnership, with its registered office in Poznan, entered in the Register of Entrepreneurs of the National Court Register under KRS No. 0000917188. The object of FSG S.A. IP ASI S.K.A. activity is to collect assets from a wide number of investors to invest them in accordance with the company's investment policy. The acquisition of FSG S.K.A. shares is aimed at making further investments in technology startups with a focus on Spacetech and Deeptech companies located in the US and Asia.
