PEN Notifications on transactions received under Art. 19.3 MAR

The Management Board of Photon Energy N.V. informs that it has received a notification from one of its shareholders, Solar Future Cooperatief U.A., regarding the signing of deed of purchase and transfer of shares in Solar Age Investments B.V. („SAI“) by which Solar Future Cooperatief U.A. transferred all shares it had owned in SAI to Solar Power to the People Cooperatief U.A. As a result of this transaction, Solar Power to the People Cooperatief U.A. (and Mr. Georg Hotar indirectly) owns 100% of shares and voting rights in SAI.
This transaction also completes the process of restructuring and consolidation of the Company’s related party loans as described in ESPI 29/2025 and ESPI 25/2025. Following the transfer of the shares in SAI, the ultimate beneficial ownership of the Company is as follows: Shareholder % of capital % of votes at the Shareholders Meeting Michael Gartner 32.88% 33.40% Georg Hotar 34.98% 35.54%
