IFC Rejestracja zmian Statutu Spółki - Umorzenie akcji. Registration of changes to the Company's AoA - Cancellation of shares
Zarząd Spółki INVESTMENT FRIENDS CAPITAL SE z siedzibą w Tallinnie informuje, że w dniu 15.01.2026 roku właściwy zgodnie z prawem Republiki Estonii rejestr spółek handlowych (Äriregister) dokonał rejestracji zmian Statutu Spółki wynikających z uchwał podjętych na Nadzwyczajnym Walnym Zgromadzeniu Akcjonariuszy w dniu 10.10.2025 roku. W związku z powyższym aktualne brzmienie punktu 2.1 i 2.4 Statutu Spółki jest następujące:
"2.1. Minimalny kapitał zakładowy spółki to 160 000 (sto sześćdziesiąt tysięcy) euro, a maksymalny kapitał zakładowy to 640 000 (sześćset czterdzieści tysięcy) euro." "2.4. Najmniejsza liczba akcji spółki bez wartości nominalnej to 1 600 000 (jeden milion sześćset tysięcy), a największa liczba akcji spółki to 6 400 000 (sześć milionów czterysta tysięcy)." Aktualnie kapitał zakładowy Spółki Investment Friends Capital SE wynosi 160 000,00 EUR oraz dzieli się na 1 600 000 akcji. W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej, angielskiej oraz estońskiej wersji językowej. The Management Board of INVESTMENT FRIENDS CAPITAL SE, with its registered office in Tallinn, hereby announces that on 15.01.2026 the Estonian Commercial Register (Äriregister) in accordance with Estonian law registered amendments to the Company's Articles of Association resulting from the resolutions adopted at the Extraordinary General Meeting of Shareholders on 10.10.2025. Therefore, the current wording of sections 2.1 and 2.4 of the Company's Articles of Association is as follows: "2.1. The minimum amount of share capital of the Company is 160 000 (one hundred sixty thousand) euros and the maximum amount of share capital is 640 000 (six hundred forty thousand) euros." "2.4. The minimum number of the shares of the Company without nominal value is 1 600 000 (one million six hundred thousand) shares and the maximum number of the shares of the Company without nominal value is 6 400 000 (six million four hundred thousand) shares." The current share capital of Investment Friends Capital SE is EUR 160 000,00 and is divided into 1 600 000 shares. The Issuer provides the current version of the Company's Articles of Association in Polish, English, and Estonian as an attachment to this report.
