VAR Zawarcie umowy licencyjnej dotyczącej wykorzystania marki DOGE w grze BARKOUR
Zarząd VARSAV Game Studios S.A. („Spółka”, „Emitent”) informuje o zawarciu umowy licencyjnej („Umowa”) pomiędzy Spółką a DOGE LLC („Licencjodawca”), podmiotem posiadającym prawa do komercyjnego wykorzystania wizerunku Kabosu oraz Cocoro - psów stanowiących podstawę jednej z najbardziej rozpoznawalnych marek internetowych na świecie, funkcjonującej pod marką DOGE.
Na podstawie Umowy Emitent uzyskał niewyłączną, ogólnoświatową licencję na wykorzystanie wskazanych materiałów licencyjnych w grze BARKOUR oraz powiązanych działaniach marketingowych, promocyjnych i sprzedażowych. Umowa została zawarta na okres dwóch lat z możliwością dalszego przedłużenia za zgodą stron. W ramach współpracy Spółka planuje przygotowanie dedykowanej zawartości do gry BARKOUR, obejmującej między innymi elementy kosmetyczne, materiały promocyjne, aktywności społecznościowe oraz potencjalne rozszerzenia zawartości związane z marką DOGE. Wynagrodzenie Licencjodawcy zostało określone jako udział procentowy w przychodach netto generowanych przez produkty i aktywności wykorzystujące licencjonowane materiały. Zdaniem Zarządu warunki finansowe Umowy odpowiadają standardom rynkowym dla współprac licencyjnych tego typu. (the “Company” or the “Issuer”) hereby announces the execution of a licensing agreement (the “Agreement”) between the Company and DOGE LLC (the “Licensor”), an entity holding commercial rights related to Kabosu and Cocoro, the dogs associated with one of the most recognizable internet brands in the world operating under the DOGE brand. Under the Agreement, the Issuer has obtained a non-exclusive, worldwide license to use certain licensed materials within BARKOUR and in related marketing, promotional and commercial activities. The Agreement has been concluded for a period of two years, with the possibility of extension upon mutual agreement of the parties. As part of the cooperation, the Company intends to develop dedicated BARKOUR content, including cosmetic items, promotional materials, community activities and potential content expansions related to the DOGE brand. The Licensor’s remuneration has been structured as a percentage share of net revenues generated by products and activities utilizing the licensed materials. In the Management Board’s opinion, the commercial terms of the Agreement are consistent with market standards for licensing arrangements of this nature. The DOGE brand is widely recognized as one of the most iconic internet culture phenomena of the last decade, with significant presence across global media, technology sectors and digital culture. The Management Board believes that the cooperation may positively impact the visibility of BARKOUR and strengthen its international marketing potential. The Management Board further notes that the Agreement is consistent with the Company’s broader strategy of developing the BARKOUR brand through licensing, promotional and commercial partnerships with recognizable internet, entertainment and consumer brands. The Management Board of the Issuer has decided to disclose the above information as it may have a material impact on the Issuer's financial condition and business prospects and may potentially influence the valuation of the Company's financial instruments listed on the alternative trading system.
