CAI Zawarcie umowy pożyczki konwertowalnej z 3KV Cybersecurity FZCO (Dubaj, ZEA) Execution of a Convertible Loan Agreement with 3KV Cybersecurity FZCO (Dubai, UAE)
Zarząd Carlson Investments SE („Spółka”) informuje, iż w dniu 05.03.2026 r. Spółka zawarła z 3KV Cybersecurity FZCO z siedzibą w Dubaju, Zjednoczone Emiraty Arabskie („3KV”) umowę pożyczki konwertowalnej („Umowa”).
1. Kwota i transze Łączna maksymalna kwota finansowania wynosi 1.000.000 EUR, uruchamiana w transzach na żądanie 3KV (mechanizm Capital Call), w podziale: 200.000 / 200.000 / 300.000 / 300.000 EUR. Wypłata kolejnych transz jest uzależniona od realizacji uzgodnionych KPI [Key Performance Indicators]. Spółka może odmówić lub odroczyć wypłatę kolejnych transz w przypadku niespełnienia KPI. 2. Konwersja Pożyczka może zostać skonwertowana na kapitał (udziały) 3KV w związku z kolejnymi rundami finansowania 3KV, przy czym poszczególne transze mogą konwertować według warunków pierwszej rundy finansowania zamkniętej po wypłacie danej transzy. Cena konwersji przewiduje dyskonto 20% do ceny z odpowiedniej rundy oraz limit wyceny (valuation cap) 10.000.000 EUR post-money. 3. Spłata i oprocentowanie (w przypadku braku konwersji) W przypadku niespełnienia KPI i/lub braku skorzystania z konwersji, pożyczka podlega spłacie w terminie 5 lat z oprocentowaniem 8% w EUR. Spłata kapitału na żądanie Spółki jest ograniczona do nie więcej niż 20% kwoty kapitału rocznie, z zastrzeżeniem spłaty końcowej w terminie zapadalności. 4. Reprezentacja Stron Spółka informuje, że Umowa została podpisana przy założeniu, iż w momencie podpisania obie Strony były reprezentowane przez tę samą osobę, co zostało ujawnione i zaakceptowane zgodnie z właściwymi procedurami korporacyjnymi Stron. Pozostałe warunki Umowy nie odbiegają istotnie od standardowych warunków rynkowych dla tego typu finansowania. Zarząd Spółki uznał powyższą informację za istotną ze względu na wartość umowy. ---------------------------------------------------------------------------------------------------------------------------------------------------- The Management Board of Carlson Investments SE (the “Company”) announces that on 05 March 2026 the Company executed a convertible loan agreement (the “Agreement”) with 3KV Cybersecurity FZCO, Dubai, United Arab Emirates (“3KV”). 1. Amount and tranches The maximum aggregate financing amount is EUR 1,000,000, to be advanced in tranches upon 3KV’s request (a Capital Call mechanism) split as follows: EUR 200,000 / 200,000 / 300,000 / 300,000. Subsequent tranches are subject to the achievement of agreed KPIs [Key Performance Indicators]. The Company may refuse or defer further tranches if KPI milestones are not met. 2. Conversion The loan may be converted into equity (shares/units) of 3KV in connection with subsequent financing rounds of 3KV. Individual tranches may convert by reference to the first financing round closing after the relevant tranche is funded. The conversion economics include a 20% discount to the applicable round price and a EUR 10,000,000 post-money valuation cap. 3. Repayment and interest (if not converted) If KPI milestones are not met and/or conversion is not exercised, the loan is repayable over 5 years and bears 8% interest per annum in EUR. Principal repayments upon the Company’s request are limited to no more than 20% of principal per year, subject to a balloon repayment at maturity. 4. Representation of the Parties The Company notes that the Agreement was executed on the basis that, at signing, both Parties were represented by the same individual, which was disclosed and approved in accordance with the relevant corporate procedures of the Parties. Other terms of the Agreement do not materially deviate from customary market terms for this type of financing. The Management Board of the Company considered the above information to be important due to the value of the contract.
