CLE Amendment to the Investment Framework Agreement regarding private placement of the Company’s shares

The Board of Directors of Coal Energy S.A. (the “Issuer” or the “Company”), with reference to Current Report No. 22/2026 dated 2 July 2026 concerning the Investment Framework Agreement entered into with LYNX OVERSEAS CONSULTING CY LTD (the “Investor”), hereby informs that the Company and the Investor entered into Amendment Agreement No. 1 to the Investment Framework Agreement dated 30 June 2026 (the “Amendment Agreement”).
